IN ALL CASES, DIONS'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO DIONS IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

This limitation of liability reflects the allocation of risk between the parties, forms an essential basis of the bargain between the parties, and Dions would not have entered into these Terms without such limitations. The foregoing limitations shall apply whether or not Dions has been advised of the possibility of such damages and notwithstanding any failure of essential purpose of any limited remedy.

11. Indemnification

You agree to defend, indemnify, and hold harmless Dions and its officers, directors, employees, agents, licensors, successors, and assigns (collectively, "Indemnified Parties") from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

The arbitration shall be conducted in the English language. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

YOU AND DIONS EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If for any reason a claim proceeds in court rather than in arbitration, you and Dions each waive any right to a jury trial and any right to participate in a class action, class arbitration, or any other representative or consolidated proceeding. If this class action waiver is found to be illegal or unenforceable with respect to any particular claim, then that claim shall proceed in court rather than in arbitration.

13.4 Exceptions to Arbitration

Notwithstanding the foregoing, the following disputes are excluded from the arbitration agreement:

  • Disputes seeking emergency injunctive or other equitable relief to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.
  • Claims that can be brought in small claims court in your state, provided such claims remain in that court and proceed only on an individual basis.

14.2 Termination by Dions
